Welcome to Eastern MedTech (“we,” “our,” “us”). By accessing or using our website located at www.easternmedtech.com, including any subdomains thereof, or other online services and products we may offer through our site and third-party platforms such as Neru Health, a virtual AI-based sleep support service aavailable via text, voice, and/or application (collectively, the “Site”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site.

  1. Use of the Site

Eligibility
You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

User Account
To access certain features of the Site, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

Prohibited Activities
You agree not to:

  • Use the Site for any illegal or unauthorized purpose.
  • Interfere with or disrupt the Site or servers or networks connected to the Site.
  • Use any automated system, including but not limited to “robots,” “spiders,” or “offline readers,” to access the Site.
  • Transmit any worms or viruses or any code of a destructive nature.

Product Descriptions
We strive to provide accurate descriptions of our products and services. However, we do not warrant that the descriptions, prices, or other content on the Site are accurate, complete, reliable, current, or error-free. If a product offered by us is not as described, your sole remedy is to return it in unused condition.

Order Acceptance and Cancellation
We reserve the right to refuse or cancel any order for any reason at any time. We may also require additional verifications or information before accepting any order. If we cancel an order after you have already been billed, we will refund the billed amount.

Pricing and Payment
All prices on the Site are subject to change without notice. We accept various forms of payment, as indicated on the Site. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your purchase.

Third-Party Services and AI Tools

We may provide access to third-party platforms and services (Third-Party Services”), including AI-powered virtual sleep support tools offered by partners such as Willow Life Sciences, Inc. (d/b/a Neru Health) (“Neru Health”). These Third-Party Services are made available on an “as-is” basis and are intended for informational and wellness support purposes only. Third Party Services do not constitute medical advice or create a provider-patient relationship. We do not guarantee the accuracy, completeness, or effectiveness of any content, recommendation, or interaction arising from the Third-Party Services. All decisions regarding diagnosis, treatment, and patient care remain solely with the licensed healthcare provider and the user. You should not rely on anything contained in the Third-Party Services, and you should consult a physician licensed in your state/jurisdiction in all matters relating to your health. You hereby agree that you shall not make any health or medical related decision based in whole or in part on anything contained in the Third-Party Services.  By using the Third-Party Services, you acknowledge and agree that we are not responsible for any medical outcomes, treatment decisions, or actions taken based on your interactions with the Third-Party Services.

  1. Intellectual Property

The Site and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof (collectively, the “Content”), are owned by us, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. We, our content providers, or our licensors (as applicable) retain full and complete title to and reserve all rights in the Content, including all associated intellectual property rights. All rights not expressly granted herein are reserved by us, our affiliates, and licensors. You agree to abide by all additional restrictions displayed on the Site, and as they may be updated from time to time.

To the fullest extent permitted by law, in no event will we and our service providers or licensors be liable nor responsible for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Site.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Site.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Site by any third party.
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Site.

Third-Party Services Disclaimer
To the maximum extent permitted by applicable law, we shall not be liable for any damages arising out of or related to Third-Party Services, including but not limited to AI-powered virtual assistants, appointment scheduling tools, or informational health platforms (e.g., Neru Health). This includes, without limitation, missed or delayed appointments, patient outcomes, treatment decisions, or user reliance on any output generated by these Third-Party Services.

To the extent permitted by applicable law, we and our officers, directors, employees, agents, licensors and service providers disclaim all warranties, conditions and representations of any kind, whether statutory, express or implied, or otherwise, including those related to the operability, medical accuracy, efficacy, or fitness for a particular purpose of any Third-Party Services. You acknowledge and expressly agree that (a) the Third-Party Services may be subject to limitations, delays, or failures outside of our control, (b) we do not make any representations or warranties with respect to (i) content available through the Site (including Third-Party Services), whether or not provided by or on behalf of us, and (ii) specific results from use of the Site (including Third-Party Services), including without limitation successful health outcomes.

Limitation of Liability Exceptions
Some jurisdictions do not allow the exclusion of certain warranties and limitations of liability provided in this section. If you are in such a jurisdiction, some of the above limitations and disclaimers may not apply to you. To the extent we may not, as a matter of applicable law, disclaim any implied warranty or limit our liabilities, the scope and duration of such warranty and the extent of our liability will be the minimum permitted by applicable law.

  1. Indemnification

You agree to defend, indemnify, and hold harmless us, and our officers, directors, employees, agents, licensors, suppliers, licensors and any service providers from and against any claims, actions, demands, liabilities, and settlements, including without limitation, reasonable legal and accounting fees, resulting from or alleged to result from:

(a) your use of the Site, including third-party AI tools or services (e.g., Neru Health);

(b) your violation of (i) these Terms or the documents incorporated herein by reference or hyperlink or (ii) applicable law;

(c) your failure to obtain appropriate professional medical consultation before acting on information obtained from the Site; and

(d) any data or content you provide through the Site that violates or infringes upon the rights of a third-party.

 

  1. Governing Law

These Terms and all disputes arising out of or relating to these Terms (including the services and products available to users through the Site and third-party platforms (e.g., Neru Health) are governed by and construed in accordance with the laws of the State of Massachusetts without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Massachusetts for the resolution of any disputes arising out of or relating to these Terms or the Site.

  1. Changes to These Terms

We may update these Terms from time to time at our sole discretion. We will notify you of any changes by posting the new Terms on the Site. You are advised to review these Terms periodically for any changes. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

  1. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Eastern MedTech concerning your use of the Site. They supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and us with respect to the Site.

  1. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of us.

By using/continuing to use the Site, you acknowledge you have read and understand and agree to the collection, storage, use, and disclosure of your personal information as described in this privacy policy, and you agree to the Eastern MedTech Terms and Conditions which is incorporated by reference. If you choose to access or use the Site, your access and use, and any dispute over privacy is subject to this privacy policy and our Terms and Conditions, including, but not limited to, limitations on damages and resolution of disputes.

  • SMS Opt-In Data: Phone numbers collected specifically for the purpose of sending you text messages (SMS) after you have opted in to receive such communications will not be shared with third party in any circumstance.
  • Derivative Data: Information collected automatically such as your IP address, browser type, operating system, access times, and pages viewed before and after accessing the Site.

  • Health and Insurance Information: Data related to your medical history or status, clinical health information and health insurance information that you provide through the Site.

Specifically, we may share information with trusted third-party service providers, such as Willow Life Sciences, Inc. (d/b/a Neru Health) (“Neru Health”), who assist us in delivering features of our services like AI-powered phone and SMS support, insurance verification, and personalized sleep health tools. These partners are contractually bound to safeguard your personal information and may only use it for the specific purposes for which it was shared.

We will never share your SMS opt-in data for marketing purposes or with any third party not involved in delivering the services (including your care or support).

Information may also be disclosed or shared in the following limited circumstances:

  • By Law or to Protect Rights: If required by law or in response to legal proceedings, or to protect the rights, property, and safety of others.
  • Business Transfers: If Eastern MedTech is involved in a merger or acquisition, your information may be transferred as part of the business assets.
  1. Third-Party Partners: Neru Health

As part of our services, we partner with Neru Health, a third-party provider that offers AI-powered sleep support via text message, phone call, or application. When you engage with Neru Health services, the following types of information may be collected or accessed:

  • Call recordings and transcripts from AI-powered phone interactions
  • Chatbot session logs and text message responses
  • Information voluntarily provided for insurance verification (with your consent)
  • In some cases, additional services may be offered that require access to limited clinical or insurance-related information to provide a more personalized user experience

Neru Health operates under a Business Associate Agreement (BAA) with us and adheres to all applicable privacy and security laws, including HIPAA. Information shared with Neru is limited to what is necessary to deliver services and is protected using industry-standard security protocols.

  • Text Message Services: You can opt out of Neru Health services at any time by replying “STOP” to any message sent by Neru Health.
  • Phone-Based Services: You may stop engaging with Neru Health’s phone-based services at any time by simply ending the call. In the future, we may introduce features that allow Neru Health to proactively reach out to you with personalized support or reminders. You will always have the option to opt out of these calls, either by requesting to stop during the call or by contacting our support team. Following your opt-out, Neru Health will add you to its do not call list and thereafter no further calls from Neru Health will be made to you.
  1. Do-Not-Track Features

We respect your privacy and support “Do-Not-Track” signals in your browser settings.

  1. Children’s Privacy

We do not knowingly collect or solicit information from children under the age of 13. If we discover that personal information has been collected from a child under 13 without parental consent, we will delete it as soon as possible.
